Structure & Offerings

JC&A is a privately held investment management and infrastructure company. It acts as the management and strategy platform for a group of private issuers and investment vehicles, including:

  • SmartrHoldings, Inc. –  a diversified technology and infrastructure holding company;  
  • DOMINAIT.ai, Inc. – an AI and GPU infrastructure and multi-agent systems company;  
  • Allotrope, Inc. (Carbon) – an automotive community, marketplace, and events platform;  
  • One or more JC&A – managed private funds that may invest in, or alongside, these operating companies.

Each issuer conducts its own Regulation D, Rule 506(c) offering, and, where applicable, files a separate Form D with the U.S. Securities and Exchange Commission (“SEC”). Each offering is distinct and governed solely by its own Offering Documents.

Certain JC&A – managed funds or income-oriented vehicles may be structured with a “preferred return” feature, where the fund targets annualized preferred return rates in the range of approximately 8%–12%, with the potential for total return outcomes up to approximately 20% depending on performance, duration, and investment tier. Besides the preferred returns, these rates are targets only; they depend on the availability of distributable profits and the specific terms of each offering, and they are not guarantees of any particular outcome or return.

Role of Licensed Broker & Manager
